1. Introduction and Acceptance

Welcome to Ofx Trading Systems. These Terms and Conditions ("Terms") govern your access to and use of our website, products, services, and any related software, including but not limited to Expert Advisors (EAs), trading tools, educational content, and community access.

Ofx Trading Systems is operated under the official business name Ofx Technologies, registered in the United Arab Emirates (UAE), with our principal place of business in Dubai.

By accessing our website, purchasing our products, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website, products, or services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Ofx Trading Systems ("Company," "we," "us," or "our").

2. Definitions

For the purposes of these Terms:

• "Products" refers to all software, Expert Advisors (EAs), trading tools, indicators, scripts, and digital downloads offered by Ofx Trading Systems
• "Services" refers to all services including VIP community access, coaching sessions, educational content, customer support, and AI assistant access
• "Subscription" refers to any recurring payment plan (Monthly, Yearly) for access to our Products and Services
• "License" refers to the right to use our software Products under the terms specified herein
• "Account" refers to your registered user account on our platform
• "Content" refers to all text, graphics, images, videos, audio, software, and other materials on our website or in our Products

3. Eligibility

To use our Products and Services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Products or Services under applicable laws
• Reside in a jurisdiction where trading Forex, CFDs, or related instruments is legal
• Be located in a geographic region where our Services are made available (see Section 4 below)
• Provide accurate and complete registration information

By using our Products or Services, you represent and warrant that you meet all eligibility requirements.

4. Geographic Availability and Service Restrictions

4.1 Right to Determine Service Regions

Ofx Trading Systems reserves the sole and absolute right to determine, at its own discretion, the geographic regions, territories, and jurisdictions in which its Products and Services are made available. This right may be exercised at any time, with or without prior notice, and for any reason that the Company deems appropriate, including but not limited to regulatory compliance, risk management, licensing considerations, business strategy, and operational requirements.

4.2 Circumvention Prohibited

Users shall not employ any technical means, including but not limited to virtual private networks (VPNs), proxy servers, or similar tools, to circumvent geographic restrictions or to misrepresent their location in order to access our Products or Services from a restricted region. Any attempt to do so shall constitute a material breach of these Terms and may result in immediate termination of the User's account, forfeiture of any fees paid, and potential legal action.

4.3 No Obligation to Operate

Nothing in these Terms shall be construed as creating an obligation for the Company to make its Products or Services available in any particular jurisdiction. The Company shall not be liable for any losses, damages, or inconvenience arising from the restriction or discontinuation of Services in any region.

4.4 Effect on Existing Users

In the event that a geographic restriction is applied to a region in which an existing User resides, the Company may, at its sole discretion, terminate the User's account and, where applicable, issue a pro-rata refund for any unused prepaid subscription period. The Company shall not be liable for any consequential losses resulting from such termination.

5. Account Registration

To access certain Products and Services, you may need to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

You may not share, sell, transfer, or allow others to use your account or login credentials.

Ofx Trading Systems offers the following Products and Services:

5.2 Membership Services

• VIP Telegram Community access
• AI Assistant for trading support
• Live AMA Sessions
• 1-on-1 Coaching Sessions (select plans)
• Priority customer support

We reserve the right to modify, update, discontinue, or add new Products and Services at any time without prior notice.

7. Subscription Plans and Pricing

We offer the following subscription tiers:

All prices are in US Dollars (USD) unless otherwise stated. Prices are subject to change with reasonable notice to existing subscribers.

Applicable taxes may be added based on your location and local tax laws.

8. Payment Terms

All payments are processed securely through Stripe or similar third-party payment processors. By making a purchase, you agree to:

• Provide valid and authorized payment information
• Authorize us to charge your payment method for the applicable fees
• Pay all charges at the prices in effect when incurred
• Be responsible for any applicable taxes

8.1 Recurring Subscriptions

For Monthly and Yearly subscriptions, your payment method will be automatically charged at the beginning of each billing cycle unless you cancel before the renewal date.

8.2 Failed Payments

If a payment fails, we may suspend your access to Products and Services until payment is successfully processed. We reserve the right to retry the payment or cancel your subscription after multiple failed attempts.

9. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use our software Products on devices you own or control
• Use the Products solely for your personal, non-commercial trading activities
• Access and use the Services included in your subscription plan

9.1 License Restrictions

You may NOT:

• Copy, modify, adapt, translate, or create derivative works of our Products
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Rent, lease, lend, sell, sublicense, or distribute our Products to third parties
• Share your license, login credentials, or account access with others
• Use our Products for commercial purposes, fund management, or on behalf of third parties
• Remove, alter, or obscure any proprietary notices or labels
• Use our Products in violation of any applicable laws or regulations
• Attempt to circumvent any license restrictions or security measures

9.2 License Linking

Certain Products may be licensed to specific trading account numbers. You may request to transfer your license to a different account by contacting our support team. License transfers are subject to our approval and may be limited in frequency.

10. Refund Policy

10.1 Eligible Refunds

• Yearly Plan: Full refund if requested within 14 days of purchase
• Lifetime Plan: Full refund if requested within 14 days of purchase

10.2 Non-Refundable Items

• Monthly Plan: No refunds due to the short billing cycle
• Coaching Sessions: Non-refundable once scheduled or delivered
• Consumed Services: Any portion of services already used
• Promotional Purchases: Items purchased at discounted rates may have different refund terms

10.3 Refund Process

To request a refund:

1. Contact us at support@ofxtradingsystems.com within the eligible period
2. Provide your order details and reason for the refund request
3. Allow up to 7-10 business days for processing

Refunds will be issued to the original payment method. We reserve the right to deny refund requests that appear fraudulent or abusive.

11. Cancellation Policy

11.1 Subscription Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Your access will continue until the end of the current billing period
• No further charges will be made to your payment method
• No partial refunds will be issued for unused time in the current period
• You will lose access to all Products and Services at the end of the billing period

11.2 How to Cancel

To cancel your subscription, please contact us at support@ofxtradingsystems.com or use the cancellation option in your account settings (if available). We recommend canceling at least 48 hours before your renewal date.

12. Intellectual Property

All intellectual property rights in our Products, Services, website, and Content are owned by Ofx Trading Systems or our licensors. This includes but is not limited to:

• Software code, algorithms, and trading logic
• Trademarks, logos, and brand elements
• Educational materials, videos, and written content
• Website design and user interface elements
• All improvements, modifications, and derivative works

Your license to use our Products does not transfer any ownership rights. All rights not expressly granted are reserved.

13. Acceptable Use Policy

When using our Products, Services, or community platforms, you agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Share or distribute copyrighted materials without authorization
• Post spam, advertisements, or promotional content in community channels
• Harass, abuse, or threaten other users or staff members
• Impersonate others or misrepresent your affiliation
• Attempt to hack, disrupt, or compromise our systems or security
• Use our Products for money laundering or illegal activities
• Provide false information during registration or support requests
• Share misleading testimonials or fake performance results

14. Disclaimer of Warranties

OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that our Products will be error-free, uninterrupted, or secure
• Any warranty regarding trading results, profitability, or performance
• Any warranty of compatibility with all brokers, platforms, or market conditions

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFX TRADING SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Trading losses or lost profits
• Loss of data or business interruption
• Damages arising from software errors or malfunctions
• Any third-party claims or actions

Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

16. Indemnification

You agree to indemnify, defend, and hold harmless Ofx Trading Systems, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of our Products or Services; (b) your violation of these Terms; (c) your trading activities; (d) your violation of any third-party rights; or (e) any content you submit or share through our platforms.

17. Termination

We reserve the right to suspend or terminate your access to our Products and Services at any time, with or without cause, including but not limited to:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of fees
• Abusive behavior toward staff or other users
• Sharing or distributing our Products without authorization

Upon termination, your license to use our Products is immediately revoked, and you must cease all use and delete any copies in your possession.

18. Dispute Resolution

Any disputes arising from these Terms or your use of our Products and Services shall be resolved as follows:

1. Informal Resolution: Contact us first at support@ofxtradingsystems.com to attempt to resolve the dispute informally
2. Mediation: If informal resolution fails, the parties agree to attempt mediation before pursuing other remedies
3. Arbitration/Litigation: Disputes not resolved through mediation shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any legal proceedings shall be conducted in the courts of Dubai, UAE.

20. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. For material changes, we will provide notice via email or prominent website notification.

Your continued use of our Products or Services after changes are posted constitutes acceptance of the modified Terms.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Ofx Trading Systems regarding your use of our Products and Services. They supersede all prior agreements, representations, and understandings.
